法人設立のご報告
つきまして、2025年3月31日より「合同会社Hope Chain DAO」を設立いたしました。 本組織は以下の目的を果たすために、 代表社員：魚住 と 業務執行社員：proofwriter（筆者 吉井） の2名で設立された合同会社DAOです。
設立目的（定款より抜粋）

寄付の用途証明業務の提供 寄付金の受領者に対し、資金の使用用途を明確化するための監査および証明業務を実施。透明性の高い資金の流れを確保し、寄付者の信頼を向上。

データ管理および報告業務の提供 ブロックチェーン技術を活用し、寄付の使用状況をデジタル記録。寄付先団体に対し、使用用途の記録と証明のデータ管理サービスを提供。

監査・コンサルティング業務 寄付の透明性を向上させるための監査支援およびアドバイザリー業務。非営利団体向けの財務管理および寄付金活用の最適化に関するコンサルティングの提供。

システム開発および運営 ブロックチェーンおよびデジタルツールを活用した寄付管理システムの開発・提供。透明性を担保するためのデータ管理・証明技術の研究開発。

社会問題の解決「データ貯金箱」プラットフォームを通じて、個人データの安全性とプライバシーを保護し、自己主権型ID（DID）を提供する。本プロジェクトを通じて、包括的な社会課題の解決を目指す。
少しややこしく見えるかもしれませんがどんな会社か？ 何をしたいのか？簡潔に説明します ↓ ↓
Hope Chain DAOとは？
社会課題に対する寄付や支援が増える中で、私たちはある疑問に向き合いました： 「寄付の総額がどれだけ増えても、それが本当に現場で使われているのかを確認できないのでは、焼け石に水なのではないか？」 多くの支援プロジェクトは善意に支えられていますが、寄付金の使用先や活動内容が不透明なままでは、寄付者の想いや信頼が届かないこともあります。 Hopeの寄付関連事業はこの “見えない不安” を、「見えるもの」に変えるために設立されました。 また本法人の仕組みは悪意のある一部の人間がその組織をコントロール出来ないようにする為に適した組織構造であると考えています。
Hopeの理念
寄付に必要なのは「金額」ではなく「透明性」 いくら支援金が集まっても、届け方が曖昧で、どこでどう使われたのかを証明できなければ、社会的インパクトは限定的です。 Hopeは、「寄付＝透明に届ける仕組み」を作ること、そしてそれを社会に広げることが、寄付文化そのものを根本から変える鍵だと信じています。 また、「真実が真実である証明」は、思っている以上に難しい課題です。 その証明を支援の現場で実行可能にするのが、Hopeの目指すPoHといった新規格です。
PoH（Proof of Hope）の仕組み
Hopeでは、寄付の証明を「誰が、いつ、どこで、誰に、どのような支援をしたか」をブロックチェーンとスマートフォンを活用して記録する仕組み「PoH（Proof of Hope）」を導入します。
一言で言うとHope独自のIDアカウント情報の一部がメタデータとして付与された状態での情報入力を行う形式です。
HopeにおいてのPoHの主な使われかた
支援の現場の写真・動画・領収書などをブロックチェーン上にハッシュ記録 第三者が検証可能な形で保存し、不正使用を抑止 寄付者は「確かに届いた」という実感と透明性を得られる
ただし、ブロックチェーン自体は「改ざんを防ぐ」技術であって、「間違った情報が入力されること」自体を防ぐわけではありません。
別記事にて詳しく仕組みを説明しますがシステム設計と法人設計、最適な運用ルールを組み合わせてようやく『正しいと信頼させる材料の多い現実に起こったであろう情報』として信頼を獲得する事が出来る状態にする事が可能です。
その状況において最適な手間やコストは環境や商品価格、流通経路等さまざまな要因によって変化します。
支援方法や支援の証明方法は、人的監査・多角的視点・地域ごとの最適化を前提に設計されます。 支援先の規模・活動・文化・言語・ITリテラシーはすべて異なります。 Hopeでは、どの団体にも同じテンプレートを押しつけるような運営は行いません。
初期段階では私たちが主導して法人を成長させていき、将来的にはより多くの関係者とともに意思決定できるDAO型の組織構造へと進化させていきます。
法人、事業設計に込めた想い
Hope Chain DAOは、「単なる寄付事業者」ではなく、社会課題の透明な解決を技術と運営で支える新しい基盤をつくるための組織です。 その実現のために、以下のような理由から「日本の合同会社DAO」を選択しました
法的・技術的な柔軟性
トークン発行・DID連携にも適応できる
意思決定ルールや社員構成を自由に設計可能
社会にとって必要なシステム基盤OSSに資源を投じられる 社会に必要なインフラだからこそ投資家に支払うリターンとなる原資となる手数料を取りたくない
DAO構造による信頼性の担保
ガバナンスにより「寄付の割合を下げることは不可能」と明記
社員権やスマートコントラクトを通じた不正防止の仕組み
日本の合同会社DAOといった正解のモデルがまだ無い領域での挑戦 出資者が出資金額以上の配当を得られないといった日本独自のルールの中での最適化 意思決定ルールや社員構成を自由に設計可能、最適解を真剣に模索したい
業界全体を取り巻く課題
理念だけでは、支援は続かない 現実には、トークンエコノミーであれ、寄付ビジネスであれ、「資金がなければ何も始まらない」という厳しい課題があります。 支援者や協力者の目には「寄付をビジネスにすること」そのものが怪しまれる時代でもあります。
つまり、Hopeのようなプロジェクトには次のような矛盾がのしかかってきます
、 善意を形にしたいが、資金が必要
、システムを開発したいが、商業主義に見られたくない
、透明性を大切にしたいが、設計には強い運営力が必要
この複雑なバランスをとるために、私たちは慎重に法人設計を検討しました。
また今後もNFTブログにてこの点についての考えを更新しますがその考えが絶対的な正解だとは思っていません。
あくまでもproofwriterの個人的な提案である事を前提とした内容として議論に参加して貰えると嬉しいです。
なぜ「日本の合同会社DAO」なのか？
1.トークン発行やDID連携にも対応できる法的柔軟性 合同会社は社員構成・意思決定プロセスを自由に設計できる
トークンやガバナンストークンを制度上組み込みやすい
2.営利法人であるからこそ“赤字を許容しつつ挑戦できる” 寄付金控除ができない代わりに、自由なビジネス展開が可能、長期的にはOSS開発やデータバンクサービス（データ貯金箱）などを含む複合事業を想定
3.DAOの利点を取り入れつつ“暴走を防ぐ”設計 重要項目（寄付割合、定款変更など）はDAOガバナンスで守られる
社員権トークンやスマートコントラクトで“1人では変えられない仕組み”を内蔵します。
日本の合同会社DAOの枠組に基づいた法解釈によると出資者（業務執行社員以外の社員）は出資した金額を上限に配当を受け取る事が出来ます。（逆に業務執行社員が好きなだけ報酬を受け取れる仕組みにする気はありませんしここについての考えも別途更新します。）
これはただ利益を追求するだけの企業との違いを明確に示しており、発起人として伝えたい思想との相性も良く活かせる点だと考えています。
他の選択肢を捨てた理由
NPO法人・公益財団法人 制度上、「設立に時間がかかる」「資産譲渡や社員構成の自由度が低い」
自由なトークン設計・DAO的な仕組み導入に大きな制限
「行政に認められる」ことが第一で、社会実験としての柔軟性が失われる
海外DAO法人（例：マーシャル諸島、スイス財団） 将来的には必要不可欠な構造だが、初期費用が高く、スピードも出ない
日本国内の規制に即応できず、「国内の信頼構築」には不向き
将来的には目的を達成する為に別法人や海外法人を組み合わせる事も検討しています。
ただ現時点では上記に述べた理由からまずは合同会社HopeChain DAOを形にする事を優先します。
ガバナンス設計に込めた約束
Hopeは、システムが完成した後、寄付金のより多くを現場に届けることを約束します。 そして、それは「できればそうしたい」という希望ではなく、定款と投票によって保証される設計ルールです。 ガバナンスによって、寄付割合は“上げること”はできても、下げることはできない
将来的にHopeがDAO化した後も、この制限は誰にも変えられないように設計されます
これこそが、Hopeが「信頼される構造」を最初から仕組みとして目指している証としてここにこの記事をNFT化し、表明します。
寄付だけじゃない。Hopeは「社会に証明を残す」会社です Hopeの目的は寄付だけではありません。 最終的には、「PoH（Proof of Help）」という支援の証明インフラを整備し、 それを活用して現実世界で起こったあらゆる現象の“実在性と信頼性”を証明するデータバンク（データ貯金箱）を構築していきます。 寄付はその最初のユースケースであり、社会の中で信頼の定義をアップデートするチャレンジです。
Hopeは「証明する社会インフラ」へ
Hopeが最終的に目指しているのは、PoHを通じた「支援の証明インフラ」の構築です。 そしてそのデータを活かして、データ貯金箱というセキュアな個人データバンクの基盤へと進化させていきます。 寄付だけでなく、教育・医療・災害・介護といった、あらゆる社会支援が「透明性ある証明つき」で行われる世界を目指します。
将来的には、完全にガバナンスをDAO化し、より多くの支援者が意思決定に関与できる分散型の社会課題解決ネットワークへと進化していく予定です。
Hopeの資金が一定以上に達するまでは迅速な意思決定や現場でのリアルタイムでの判断を優先させるべきだと考えている為、初期段階においては主に業務執行社員が必要なガバナンス及び業務実行を行う予定です。（判断記録や資金用途は初期段階から蓄積し、公開します）
本記事も一般的なブログではなくいつ誰がどんな考えを持って書いたのか？ 証明可能なNFTブログ記事として目的達成の為に正しいと考えている方向性を伝えたいという思いがあります。

Notice of Company Establishment As of March 26, 2025, we have officially established the company "Godo Kaisha Hope Chain DAO" (Hope Chain DAO LLC). This organization was founded by two members: Representative Employee Mr. Uozumi and Managing Executive Employee proofwriter (author: Yoshii), with the following mission in mind:
Purpose of Establishment (Extracted from the Articles of Incorporation): Provision of Donation Usage Verification Services Auditing and verification services to clarify how donated funds are being used. Ensuring transparency in financial flows and increasing donor trust. Provision of Data Management and Reporting Services Recording donation usage via blockchain technology. Providing data management services for record-keeping and verification to donation recipients. Audit and Consulting Services Support for improving transparency in donations, offering financial management and donation utilization consulting for non-profit organizations. System Development and Operations Developing and offering donation management systems using blockchain and digital tools. Researching technologies for data verification and transparency. Other Related Operations Solving Social Issues via the "Data Vault" Platform Protecting individual data security and privacy, offering self-sovereign identity (DID) solutions. Aiming to solve comprehensive social challenges through this project.
It may sound complex at first glance, so let us explain in simpler terms:
What is Hope Chain DAO? As donations and social support grow globally, we ask one critical question: "Even if donation amounts increase, doesn’t it mean nothing if we can’t verify they’re reaching the field?" Many projects rely on goodwill, but if donors can’t clearly see how their donations are used, their trust may never reach those in need. Hope’s donation-related efforts were launched to convert this "invisible uncertainty" into "visible assurance." Furthermore, this structure ensures that no malicious actor can monopolize control over the organization.
Hope’s Philosophy: Donation Needs "Transparency," Not Just "Amount" No matter how much money is raised, if the delivery is vague and usage unverifiable, the social impact is limited. Hope believes that creating a "transparent delivery system for donations" and expanding this model is key to transforming donation culture. However, "proving the truth is true" is more challenging than expected. Hope aims to make this possible in the field via new standards such as PoH (Proof of Hope).
What is PoH (Proof of Hope)? Hope introduces a system to record donation verification details using blockchain and smartphones, capturing who, when, where, to whom, and how the donation was made. In simple terms: input data linked to the donor’s unique Hope ID as metadata. Main Use Cases: Record photos, videos, receipts from the field as hashes on the blockchain Store them in a third-party verifiable way to prevent misuse Donors can gain tangible assurance that their donations were delivered Note: Blockchain prevents tampering, but not false inputs. A proper combination of system design, legal structure, and operational rules is essential to make the records trustworthy. Costs and workload vary depending on local environments, goods pricing, and logistics. Support methods and proof formats are designed with flexibility, avoiding one-size-fits-all approaches across different cultures, languages, and IT literacy levels. We will lead the organization in its early stages and evolve into a DAO with more stakeholders participating in decision-making in the future.
The Intention Behind Our Legal and Business Design Hope Chain DAO is not just a donation service provider. It is an organization that builds new infrastructure for solving social issues transparently through technology and governance. We chose a "Japanese Godo Kaisha DAO" structure because: Legal and technical flexibility Supports token issuance and DID integration; customizable member and governance structures Investing in Open Source Infrastructure We want to avoid fees that go to investors and instead use funds for OSS critical to society Trust via DAO Governance Donation ratios cannot be lowered by vote; fraud prevention via member tokens and smart contracts Pioneering New Territory in Japan We want to explore optimal structures under Japanese law where profit distribution is capped for non-executive members
Industry-wide Challenge: Philosophy Alone Can’t Sustain Support In reality, no project (whether donation or token-based) can thrive without capital. Hope faces a unique paradox: We want to materialize goodwill, but need funding We want transparency, but system design needs strong operations We want to build trust, but fear being mistaken as purely profit-driven Hence, we designed our legal structure carefully to strike this balance. We will continue sharing our thoughts on our NFT blog. These are not absolute truths, but personal proposals by proofwriter for discussion.
Why Choose a Japanese Godo Kaisha DAO? Legal Flexibility for Tokens and DID Freely design membership and governance structures Compatible with governance tokens and smart contracts Freedom in Business Expansion Though donation tax deductions aren’t available, free to expand into data vault services or OSS development DAO Logic with Anti-abuse Design Governance rules protect donation ratios from being lowered Member tokens and smart contracts prevent unilateral control In Japan, non-executive investors can receive dividends up to the amount they invested—but no more. This aligns well with our founding philosophy.
Why We Rejected Other Structures NPOs / Public Interest Foundations: Rigid rules, long setup times, limited freedom Overseas DAO Entities (e.g. Marshall Islands, Swiss Foundations): High cost, slow setup, not optimal for Japan-based trust building We may use these structures in the future, but right now, Hope Chain DAO is our priority.
Our Governance Pledge Hope guarantees that once our system is complete, more of the donation funds will reach those in need. And this is not just a wish, but a guarantee baked into our Articles of Incorporation and voting structure: Donation ratios can be increased but never decreased Even after full DAO conversion, this cannot be changed To prove this, we will mint this article as an NFT and make it permanent.
More Than Donations: Hope Proves Reality Hope's mission goes beyond donations. We aim to build the infrastructure of Proof of Help (PoH) to verify real-world events. The first use case is donation, but ultimately we aim to redefine trust through a data vault—the secure data bank of individual records. We envision a world where support in education, healthcare, disasters, and caregiving all comes with verifiable transparency.
Toward a Decentralized Future In the future, Hope will evolve into a fully DAO-governed network solving social issues. Until our funding reaches sufficient levels, we will prioritize executive-led decision-making while recording and publishing all operational data transparently.
